Terms of Service & Disclaimer

Agreement

By creating a ComplyAssist account, or by using the service, you agree to these Terms and to the Privacy Policy. If you use ComplyAssist on behalf of a firm or organization, you confirm you have authority to bind it, and "you" includes that organization.

What ComplyAssist is — and is not

ComplyAssist is a workflow and record-keeping tool that helps you review documents and create a tamper-evident record of that review. It is not a law firm and does not provide legal advice, legal opinions, or any assessment of whether a filing complies with any rule of court. Use of ComplyAssist does not create an attorney–client relationship with anyone.

You remain fully responsible for your filings and documents. A certification generated in ComplyAssist records the review that you performed; it is your review, your professional judgment, and your signature — not ours. You are responsible for satisfying whatever obligations apply to you (for example Florida Rule of General Practice and Judicial Administration 2.515, or any other rule of your jurisdiction), including verifying every citation and representation yourself.

AI limitations

ComplyAssist uses AI to extract citations, references, and claims from your documents so you can review them. AI extraction can be incomplete or wrong: it may miss items, mis-read items, or place them incorrectly. It is a starting point for your review, never a substitute for it. You must confirm for yourself that every item requiring verification has been identified and verified before signing anything.

Your account

Keep your credentials confidential; you are responsible for activity under your account. Accounts are personal — one active login per account is enforced, and sharing an account is not permitted. You must provide accurate information (including your reviewer name and bar number, which appear on your certification records) and be at least 18 years old.

Acceptable use

Don't misuse the service: no unlawful content or use, no attempting to breach or probe security, no reselling the service, no interfering with other users, and no uploading content you have no right to process. We may suspend or terminate accounts that violate these Terms.

Plans, billing, and AI usage

Paid plans are billed by Stripe on a recurring basis until cancelled; you can cancel or change plans at any time from Account, effective at the end of the billing period. AI extraction is metered against your plan allowance; top-ups are one-time, non-refundable purchases of additional allowance. Except where required by law, fees are non-refundable. We may change pricing with notice — changes apply from your next billing period.

Your content

You own the documents you upload and the records you create. You grant us only the limited license needed to store and process them to provide the service (see the Privacy Policy — your documents are never used to train AI models and never sold). The ComplyAssist software, site, and branding are ours.

Connected apps

If you connect a third-party app (such as Claude), you authorize it to act on your account within the scope shown at connection time. We are not responsible for third-party apps; revoke access at any time from Account → Connected apps.

Disclaimer of warranties

The service is provided "as is" and "as available", without warranties of any kind, express or implied — including fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, ComplyAssist and its operator are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, professional discipline, sanctions, or court outcomes, arising from your use of the service. Our total aggregate liability for any claim is limited to the amount you paid us in the 12 months before the claim arose (or USD $50 if you paid nothing).

Termination

You can stop using the service and request account deletion at any time. We may suspend or terminate the service or your account for breach of these Terms, with notice where practicable. Sections that by their nature survive (disclaimers, liability limits, your responsibility for your filings) survive termination.

Governing law & changes

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law rules. If we change these Terms materially, we'll update the effective date here and notify active accounts by email; continued use after changes take effect constitutes acceptance.
